1. Acceptance of Terms

By accessing or using TruBuildGC ("the Service"), operated by Truman Development LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. You must be at least 18 years old to use this Service. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms.

2. Description of Service

TruBuildGC is a cloud-based construction management platform designed for general contractors. Features include project management, budgeting, scheduling, bidding, draw requests, subcontractor management, bookkeeping, client portals, and AI-assisted tools. The specific features available to you may depend on your subscription plan.

3. Account Registration

You are responsible for maintaining the accuracy of your account information and the security of your password. Each company should maintain one account, with team members invited by the account owner. You are responsible for all activity that occurs under your account.

4. Subscription Plans & Billing

TruBuildGC offers a free tier and paid subscription tiers billed monthly via Stripe. Paid subscriptions automatically renew each billing cycle. You may cancel your subscription at any time, but no refunds will be issued for partial months. We reserve the right to change pricing with at least 30 days' notice via email.

5. Free Trial

New accounts receive a 14-day free trial of Professional features. No credit card is required to start a trial. At the end of the trial period, your account will be downgraded to the Free tier unless you subscribe to a paid plan.

6. Payment Processing

All payment processing is handled by Stripe. ACH payments for subcontractor draws are also processed via Stripe. By using our payment features, you agree to Stripe's Terms of Service.

7. Bank Account Integration

Bank account linking is provided through Plaid. By connecting your bank account, you agree to Plaid's Terms of Service. TruBuildGC does not store your bank credentials.

8. User Content & Data

You retain ownership of all data you upload to TruBuildGC, including projects, documents, photos, and budgets. You grant us a limited license to store and process your data solely for the purpose of delivering the Service. You are responsible for the accuracy of all financial data entered into the platform.

9. Document Storage

Compliance documents, photos, plans, and other files are stored securely within the platform. TruBuildGC is not a backup service. You should maintain your own independent backups of all important documents and data.

10. AI Features

AI chat and document analysis features are powered by third-party AI services (Anthropic). AI-generated responses are provided for informational purposes only and do not constitute professional advice, including but not limited to legal, financial, or engineering advice. You are solely responsible for verifying and validating any AI-generated content before relying on it.

11. Public Portals

TruBuildGC provides token-based access portals for clients, subcontractors, and other third parties. As the account owner, you are responsible for managing who receives portal access links and the data shared through those portals.

12. Email Communications

Transactional emails are sent via Resend for waivers, bids, notifications, and other service-related communications. You can manage your email preferences in your account settings.

13. Prohibited Use

You may not use the Service for any illegal activity, share your account credentials with unauthorized parties, reverse engineer or attempt to extract the source code of the Service, use automated scraping or data extraction tools, or upload malware or malicious content.

14. Limitation of Liability

The Service is provided "as is" without warranties of any kind. TruBuildGC and Truman Development LLC shall not be liable for any data loss, financial errors, missed deadlines, or construction defects. The Service is not a substitute for professional accounting, legal, or engineering services. Our maximum liability is limited to the total fees paid by you in the 12 months preceding the claim.

15. Indemnification

You agree to indemnify and hold harmless TruBuildGC, Truman Development LLC, and its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service, your data, or your construction activities.

16. Termination

Either party may terminate this agreement at any time. Upon termination, you will have 30 days to export your data. TruBuildGC reserves the right to suspend or terminate accounts that violate these terms.

17. Modifications

We may update these Terms of Service from time to time. We will notify you of material changes via email at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated terms.

18. Governing Law

These terms shall be governed by the laws of the State of [STATE]. Any disputes arising from these terms or the Service shall be resolved in the courts of [JURISDICTION].
